Chairperson

The chairperson has some responsibilities additional to those of other board members, particularly in relation to leadership and the conduct of business. These include;

  • taking lead responsibility in representing the state body in meetings with the minister and Oireachtas committees
  • ensuring that board members understand their corporate roles and responsibilities
  • ensuring that the board carries out its functions efficiently and effectively
  • developing an effective working relationship with the chief executive and other senior staff and
  • setting and assessing performance targets for the chief executive;
  • advising the board on annual performance pay.

In relation to the annual report, the chairperson is required under the Code of Practice for the Governance of State Bodies to report on important aspects of the body’s operations in the preceding year. The Code requires the chairperson’s statement regarding the internal financial control to be included in the annual report. The Code details the Format for the Report regarding the assessment of Internal Financial Controls of a State Body.
